This Model/Talent Release Agreement ("Agreement") is made and entered into as of "Date" by and between Snow King Media Inc., a corporation organized and existing under the laws of California, with a principal place of business at 453 S. Spring St. Suite 400 Los Angeles, Ca 90013 ("Licensee"), and

residing at.

WHEREAS, Licensee desires to produce, use and exploit certain film, video and audio productions ("Productions") in connection with its business, and

WHEREAS, Talent desires to grant Licensee a non-exclusive license to use the Materials as set forth herein.

NOW, THEREFORE, in consideration of the foregoing premises and the mutual covenants contained herein, the parties agree as follows:

1. Grant of Rights. Talent hereby grants to Licensee a non-exclusive, irrevocable, worldwide, royalty-free right and license to use, reproduce, edit, modify, adapt, publish, distribute, exhibit, and otherwise exploit Talent's image, likeness, and voice as recorded on film, video and audio (collectively, the "Likeness") in and in connection with the Productions (as defined below).

2. Productions. "Productions" shall mean any and all film, video and audio recordings created by Licensee of Talent during the course of (the "Production").

3. Use of Likeness. Licensee may use the Likeness for the following purposes: [List specific uses, e.g., promotional video for Snow King Media's website and social media channels, final film or video production, etc.]. Licensee agrees not to use the Likeness for any defamatory or otherwise unlawful purpose.

4. Editing and Approval.  Licensee shall have the right to edit the Productions in its sole discretion. [Optional: Include a section on approval,  e.g., Talent shall have the right to review and approve the Productions solely for use on the Snow King Media Inc. website homepage].

5. Term and Territory. This Agreement shall commence on the date first written above and shall remain in full force and effect in perpetuity [or for a specific period, e.g., two (2) years]. The license granted hereunder shall be worldwide.

6. Compensation. Please note that compensation for Talent's services may be addressed in a separate agreement between Talent and Licensee.

7. Representations and Warranties. Talent represents and warrants that he/she has the full right, power, and authority to enter into this Agreement and to grant the rights granted hereunder.

8. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

9. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California.

10. Severability. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first written above.

By signing this release, I understand this permission signifies that photographic, video or audio recordings of me may be electronically displayed via the Internet or in the public setting. I will be consulted about the use of the photographs, videos and audio recordings for any purpose other than those listed above. There is no time limit on the validity of this release nor is there any geographic limitation on where these materials may be distributed. This release applies to photographic, audio or video recordings collected as part of the sessions listed on this document only. By signing this release, I acknowledge that I have completely read and fully understand the above release and agree to be bound thereby.
