Sales Contract of Artwork

This sales contract is an agreement between the artist «Anne-Marie Roy» and the purchaser «you» (fill your personal information in this form) . It includes clauses in relation to copywrites, custody and conservation , the access and loan of the work and the continuation right of the work.

COPYWRITES

1. The ARTIST remains the owner of all his copyrights, including the right to exhibit the WORK publicly, the right to reproduce the WORK in all forms and by all means, as well as the right to publicly communicate the WORK in non-material form, for all countries and for the duration of the copyright.

 2. Notwithstanding the above, the PURCHASER may however reproduce the WORK for personal archive purposes or for insurance purposes only. Any other use requires the authorization of the ARTIST.

Custody and conservation 

As soon as he is in possession of the WORK, the PURCHASER is responsible for the conservation as well as the conservation costs of the WORK given to him by the ARTIST, the PURCHASER declaring to have received the WORK in good condition and recognizing that it does not have the right to modify it in whole or in part.

Access and loan of the work

1. The PURCHASER must give the ARTIST access to the WORK and allow it to be borrowed so that the ARTIST can exercise

its copyright.

2. A written notice of at least fifteen (15) days sent by the ARTIST to the PURCHASER must precede access or borrowing. This notice must inform the PURCHASER of the duration and terms of access or borrowing.

3. When required, the ARTIST undertakes to assume the costs of packaging and transporting the WORK, as well as to assume the partial or total loss of the WORK as long as he or she has possession of it.

4. Access and borrowing must be permitted to the ARTIST without monetary compensation, the ARTIST must use his or her right within reasonable limits.

5. Unless otherwise advised by the PURCHASER, the ARTIST undertakes to ensure that the PURCHASER's name appears in any exhibition for which the WORK has been borrowed and in any catalog where the WORK will be reproduced.

Continuation Right

1. The PURCHASER undertakes to notify the ARTIST or his beneficiaries in writing of the resale or transfer of the WORK to a third party within thirty (30) days of the sale. The notice will state the third party's name, address and telephone number. The PURCHASER will notify this third party that the ARTIST has reserved all his copyrights, in particular his right of exhibition including a right of access to the WORK.

2. In the event of resale or transfer of the WORK, the PURCHASER undertakes to remit to the ARTIST or his beneficiaries five percent (5%) of the price obtained during this resale or transfer.

Dispute resolution

1. The parties undertake to make all reasonable efforts to resolve any dispute relating to this contract or arising from its interpretation or application through mediation in accordance with the procedure provided for in Articles 1 to 7 and Book VII of the Code of Civil Procedure of Quebec, as specified in the Act establishing the new Code of Civil Procedure (bill no. 28).

2. If the parties have not reached an agreement within sixty (60) days following the appointment of the mediator, one of the parties may resort, if necessary, to the courts of common law. They thus expressly waive the application of article 37 of the Law on the professional status of artists in the visual arts, crafts and literature and on their contracts with broadcasters.
